After completing your affiliate application online please review this agreement, print, fill in the requested information and sign. Then fax back to us with your other required documentation.

Enrollment in the Program

To begin the enrollment process please submit a completed EXCALIBUR AFFILIATE PROGRAM application via our web site or fax. After you submit a completed affiliate application via our website and have faxed your supporting documentation, we will evaluate your application and notify you of your acceptance or rejection in a timely manner.

Upon approval of your application a representative will contact you with further information to set up an account with us. Normal time for application approval is one week; this may be expedited according to the promptness in which we receive your application with all appropriate supporting documentation submitted.

You may not create, publish, distribute, or print any material that makes reference to Excalibur or use our name or any of our trademarks, for any marketing or promotional materials, whether print, broadcast or electronic, without first submitting such material to Excalibur and receiving our written consent. All advertising, literature, etc. of Excalibur products must be pre-approved in writing by Excalibur. Excalibur is not responsible for any content or information other than that which is produced by Excalibur and which has not been altered or used inappropriately.

Relationship of Parties

The parties to this Agreement are Independent Contractors, and Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Members of the Affiliate Program are “independent businesses” and are not considered to be employees or agents of Excalibur. As an independent business, you are in no way authorized to represent or to make claims for or in behalf of Excalibur, directly or indirectly, written or otherwise expressed, without previous written permission of Excalibur.

Policies and Pricing

1. Your student must contact our order department, via phone, fax or email, and place an order using the affiliate order form and state your affiliate number when ordering.
2. You may contact our order department, via phone, fax or email, and place the order for your student.

Commission  will be based on the purchase price of the Dehydrator and ParaFlexx™ sheets for qualifying purchases, excluding amounts collected for sales tax, duties, and shipping and handling. Net Sales will also be reduced for amounts due to credit card fraud and bad debts.

Commissions are accrued on a 30/31 day calendar month. Once Excalibur has received payment and verified that the dehydrator has not been returned within the 30-day money back guarantee time period, total commissions due to you will be paid on the 30/31 day calendar month.

You are not eligible to receive commission for your own purchases from Excalibur or for products used for personal use of you or anyone connected to you or work within your site.

Terms of this Agreement

The term of this Agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice for terminating this Agreement. If this Agreement is terminated because you have violated the terms of this Agreement you are not eligible to receive any commission payments, even for commissions earned prior to the date of termination. If this Agreement is terminated for any other reason, you are only eligible to earn a commission on sales occurring during the term of the Agreement, and commissions earned through the date of termination will remain payable only if the related orders are not canceled or returned. We reserve the right to withhold your final payment for a reasonable time to ensure that the correct amount is paid.

Modification

We reserve the right to modify any terms and conditions contained in this Agreement at any time. Affiliates may terminate this association with Excalibur at any time, and Excalibur my terminate your Affiliate status at any time, with or without cause.  

Termination

Any attempt by an Affiliate to manipulate, falsify or inflate referrals, to defraud Excalibur or to violate the terms of this Agreement constitutes immediate grounds for Excalibur to terminate this Agreement and will result in forfeiture of any amounts otherwise due to You hereunder. Upon termination of this Agreement for any reason, you will immediately cease use of all materials provided by or on behalf of us to you pursuant hereto or in connection with the Program.

Limitation of Liability

You hereby agree to indemnify and hold harmless Excalibur and our subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees any or all of the foregoing hereinafter referred to as “losses”) insofar as such losses, or actions in respect thereof, arise from or are based on:

1. any failure or breach of any representation, warranty, covenant, or agreement made by you herein,
2. any misuse of our name or trademarks
3. any claim related to your website, including, without limitation, content therein not attributable to Excalibur.

If I/we do not abide by the above agreement, I/we understand that Excalibur/KBI may terminate my/our affiliate agreement and I/we are not eligible to receive any commission payments, even for commissions earned prior to the date of termination.
